Creating a Sàrl — common questions
CHF 20,000 — fully paid up before the notary signing. This amount is deposited in a blocked bank account and released once the commercial register inscription is confirmed. Crucially, this CHF 20,000 stays in the company as working capital — it is not a fee. It is your company’s money, available from day one for operations.
The notary signing is typically the only step requiring physical presence — and even this can sometimes be handled via notarised power of attorney. All other steps (file preparation, RC submission, affiliations, accounting setup) can be handled remotely. No. A Sàrl exists legally only once inscribed in the commercial register. Invoicing under the Sàrl name before inscription exposes the signatories personally. During the transition period, you can continue invoicing as an individual (sole trader) — provided the two periods are correctly separated for accounting and VAT purposes. We advise on managing this transition period.
No. VAT registration depends on whether the relevant taxable turnover reaches the applicable CHF 100,000 threshold and on the nature of the activity. Below that threshold, registration may be voluntary in certain cases. Voluntary registration can be useful where significant input VAT is expected, but it should be checked against the business model, client location and expense structure.
